INTERPRETATION

Definitions. In these Conditions, the following definitions apply: Client: the parent, legal guardian, or educational institution purchasing the Program from Tradechology Jr, Student: the minor enrolled in the Program (grades 7-9). Commencement Date: January 6, 2025, or the date that Tradechology Jr commences provision of the Program to the Client in accordance with clause 2.4 below Agreement: the Agreement between Tradechology Jr and the Client for the supply of a Program comprising of the Order and these Conditions Tradechology Jr: A division of MLH Capital LLC t/a Tradechology a company with its registered office located at 1516 S. Wabash Ave, Chicago, IL, 60605. The Materials: all educational content, guides, digital products, simulations, PowerBuddy AI assistance, and any other proprietary information relating to the Program which are provided by Tradechology Jr to the Client. Fees: the fees payable by the Client for the supply of a Program in accordance with clause 5. Data Protection Addendum: means the addendum hereto identifying certain respective rights and obligations of the parties in respect of personal data and privacy under the Agreement (as updated from time to time). Protected Data has the meaning given in the Data Protection Addendum.

2. BASIS OF AGREEMENT

2.1 The Agreement constitutes the entire agreement between the parties. The Client acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of Tradechology Jr which is not set out in the Agreement. These Conditions apply to the Agreement to the exclusion of any other terms that the Client seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. Tradechology Jr is under a legal duty to supply educational services that are in conformity with the Agreement.

2.2 Any sample materials, descriptive matter or advertising issued by Tradechology Jr, and any descriptions or illustrations contained in Tradechology Jr's website or brochures, are issued or published for the sole purpose of giving an approximate idea of a Program and the Programs offered by Tradechology Jr. They will not form part of the Agreement or have any contractual force.

2.3 The Client agrees that if they access or use the program materials supplied with the service before the end of a period of 25 days from the Commencement Date of the program they then understand and agree with explicit consent that the right to cancel the Agreement will be lost. The Client understands that they will need to contact [email protected] if they maintain their rights to cancel.

2.4 The Commencement Date of the Program is the date on which these Terms and Conditions are agreed upon and the Client therefore gains access to the Program (irrespective of whether they do access the program on that same day).

3. THE PROGRAMS

3.1 Tradechology Jr will supply a Program to the Client and warrants to the Client that such Program has been prepared using reasonable care and skill, with consideration for age-appropriate content and educational standards. Tradechology Jr provides no guarantee that a Program will provide any specific results for the Student. Testimonials shown on the Tradechology Jr website are from real students and parents. The Student's experience will vary based on their level of effort, engagement with the material, and how closely they follow the educational process laid out by Tradechology Jr.

3.2 Tradechology Jr will use reasonable endeavours to meet any dates in relation to supporting the program but any such dates will be provisional only and may be subject to change at the discretion of Tradechology Jr, with no liability attaching to Tradechology Jr in respect of such changes.

3.3 Tradechology Jr will have the right to make any changes to the support of a Program which do not affect the fundamental nature of the Program.

3.4 The Client shall ensure compliance with all applicable laws relating to the use of the Program, including laws relating to privacy, data protection, and COPPA requirements.

3.5 The Program consists of the educational materials, simulations, and PowerBuddy AI assistance provided from the Commencement Date through May 30, 2025. Any other materials, access or support provided is designed to support the Student's use of the Program and does not constitute part of the Program itself.

3.6 Support requests may be submitted via the Parent Portal and can expect a response within 2-5 working days depending on the nature of the request.

4. CLIENT'S OBLIGATIONS

4.1 The Client will:

a) ensure that the terms of the Order are complete and accurate;

b) provide verifiable parental consent for Student participation;

c) monitor Student's participation and trading simulation activities;

d) pay the Fees strictly in accordance with the payment schedule;

e) not use the Program or Materials for any purpose other than Student education;

f) respect the privacy rights of other participants;

g) permit Tradechology Jr to use Student success examples in marketing with explicit parental consent;

h) maintain account security and credentials.

5. FEES AND PAYMENT

5.1 The Fees for the program are $99 deposit plus two payments, or $259 paid in full. The fees will remain payable by the Client even if the Student does not complete, access or use the entire Program. The program fees are non-refundable after January 31, 2025.

6. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in or arising out of or in connection with a Program and Tradechology Jr Materials will be owned by Tradechology Jr. Tradechology Jr hereby grants the Client and Student with a revocable, nonexclusive royalty free license to use Tradechology Jr Materials for the duration of the Program. The Client and Student may not copy, distribute, or share Program materials with any third parties.

7. LIMITATION OF LIABILITY AND DISCLAIMERS:

7.1 Tradechology Jr will under no circumstances whatsoever be liable to the Client or Student, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss arising under or in connection with the Agreement.

7.2 All simulated trading activities are for educational purposes only. Tradechology Jr does not provide any legal, tax, financial or accounting advice and any information provided to the Student as part of a Program is not intended to constitute such advice.

7.3 The PowerBuddy AI system is designed for educational support only and should not be relied upon for financial advice or trading decisions.

8. DURATION AND TERMINATION

8.1 The Agreement will last from January 6, 2025 through May 30, 2025. Access to materials will terminate at the end of the program period.

8.2 The Client will have the right to "pause" their Student's access time for a maximum of 1 week as standard. Any longer pauses due to illness or personal circumstances will need to be authorized by Tradechology Jr on a case by case basis. Any payments due according to the payment schedule will still be payable according to their original terms during or after a "pause" has taken place.

9. STUDENT DATA AND PRIVACY

9.1 Student Data shall at all times remain the property of the Client or its licensors and is protected under COPPA regulations.

9.2 The Client acknowledges that Tradechology Jr collects and processes Student Data solely for educational purposes and in compliance with COPPA requirements.

9.3 Parents have the right to review their child's information, request deletion, and refuse further collection of data at any time.

9.4 Within 60 days of the end of the Program, Tradechology Jr shall securely dispose of such Student Data except where required by law to maintain records.

10. CONFIDENTIALITY AND SECURITY OF STUDENT DATA

10.1 Tradechology Jr shall maintain the confidentiality of the Student Data and shall not disclose or copy the Student Data other than as necessary for the performance of the Program.

10.2 Tradechology Jr shall implement technical and organizational security measures in accordance with COPPA and FERPA requirements.

10.3 All Student Data will be encrypted and stored securely following industry best practices.

11. ACCEPTABLE USE AND CONDUCT

11.1 From the date the Agreement commences, any behavior displayed by the Student that Tradechology Jr deems as disruptive, threatening, abusive or inappropriate, either in person, via email, via the platform or any other forms of communication may result in the Student being denied access to aspects of the Program. Any monies already paid for the Program will be non-refundable.

11.2 Students must:

a) Use appropriate language and conduct in all program activities

b) Respect other students and program staff

c) Follow all simulation guidelines and restrictions

d) Maintain academic integrity

e) Not share account credentials

f) Not attempt real-money trading

12. PARENTAL SUPERVISION AND RESPONSIBILITY

12.1 The Client (parent/guardian) is responsible for:

a) Monitoring Student's program participation

b) Ensuring appropriate use of trading simulations

c) Maintaining account security

d) Reviewing Student progress

e) Participating in parent orientation sessions

f) Ensuring Student compliance with program guidelines

13. EDUCATIONAL DISCLAIMER

Securities Used in Simulations: All trading activities in this Program are simulated and used for educational purposes only. No real money or actual securities are involved in any program activities. The simulations are designed to teach basic concepts of financial markets and do not represent actual market conditions.

Educational Purpose: This program is designed for educational purposes only and does not constitute financial advice or recommendations. All concepts, strategies, and techniques taught are for learning purposes and should not be construed as professional trading or investment advice.

14. COMPLAINTS AND SUPPORT

14.1 Please contact [email protected] for any issues or concerns. We will acknowledge your contact within 48 hours and provide a full response within 7 days.

14.2 For technical support with PowerBuddy or trading simulations, assistance is available through the Parent Portal or Student Help Desk during program hours.

15. GOVERNING LAW

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of Illinois, United States.

By enrolling in Tradechology Jr, the Client acknowledges they have read, understood, and agree to be bound by these terms and conditions.
